Eight Advisory assisted Vantiva in relation with the potential acquisition of CommScope’s Home Networks

Vantiva (ex: Technicolor), a global technology leader designing, developing and supplying innovative products and solutions connecting consumers around the world to the content and services they love, entered into a call option agreement with CommScope, a US company (NASDAQ : COMM), to acquire CommScope’s Home Networks division (Home Networks), a provider of devices that supply residential connectivity and video set top box solutions.
The planned acquisition of CommScope Home Networks represents a transformational transaction for Vantiva, as it would significantly increase Vantiva’s Connected Home capabilities.
In the last twelve months ending June 2023, CommScope Home Networks and Vantiva’s Connected Home generated $1.5bn and €2.0bn in sales, respectively.
Eight Advisory carried out the financial and separation due diligence on behalf of Vantiva, and assisted Vantiva in relation with the tax structuring of the transaction and the negotiation of the tax aspects of the agreement.
The Eight Advisory team was composed of:
- Pierre-David Forterre, Rupert Templeman and William Doyle for the financial due diligence;
- Nick Neil-Boss and Samuel Chandrasekaran for the separation due diligence;
- Hubert Christophe, Priscille Baizeau and Baptiste Gachet for the tax structuring and the analysis of the tax aspects of the agreement, assisted by their tax correspondents for foreign tax aspects.
